1. Agreement to Terms

Welcome to TodoTicked, a product of Phoenix Digital, LLC ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our websites, applications, APIs, and related services (collectively, the "Service").

By creating an account, purchasing a subscription, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

2. Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Service. If you are under the age of majority where you live, you may use the Service only with involvement of a parent or guardian who agrees to these Terms.

3. Description of the Service

TodoTicked is a productivity Service that may include task management, notes, journaling, projects, smart filters, Pomodoro timing, team collaboration, integrations, and related features. Features available to you depend on your plan and platform.

We may modify, suspend, or discontinue features at any time. We will try to provide reasonable notice for material changes that significantly reduce paid functionality.

4. Accounts and Authentication

4.1 Account creation

You may register using:

• Email and password
• Google Sign-In
• Sign in with Apple

You must provide accurate information and keep it up to date. You may not impersonate another person or create accounts for abusive purposes.

4.2 Account security

You are responsible for:

• Maintaining the confidentiality of your credentials and devices
• All activity under your account
• Notifying us promptly of unauthorized access

We recommend enabling optional TOTP-based two-factor authentication in Settings → Security.

4.3 Account deletion

You may delete your account from Settings → Security in the app. Deletion removes account content from our primary systems as described in our Privacy Policy. If you have an active paid subscription, cancel it before or as part of deletion to avoid continued billing by the payment platform.

5. Subscriptions and Billing

5.1 Plans

TodoTicked offers free and paid plans. Paid plans unlock additional features, limits, or team capabilities as described on our pricing page and in the product at the time of purchase.

5.2 Payment processors

Depending on platform, subscriptions may be billed through:

• Stripe for web and certain platforms
• Apple App Store / In-App Purchase for Apple platforms where offered

Payment method details are handled by the applicable processor. By purchasing, you authorize recurring charges for the selected plan and billing interval until you cancel.

5.3 Renewals, cancellation, and refunds (non-Apple)

For subscriptions purchased through Stripe or our website: subscriptions renew automatically at the end of each billing period unless canceled. You may cancel at any time; cancellation typically takes effect at the end of the current paid period. Except where required by law or expressly stated otherwise, fees are non-refundable for partial periods.

5.4 Price changes

We may change prices. For existing subscribers, price changes take effect on a future renewal after notice, subject to platform rules (including Apple and Google store rules).

7. User Content and Data Ownership

7.1 Your content

You retain ownership of content you create or upload to the Service ("User Content"), including tasks, notes, journal entries, and files.

7.2 License to operate the Service

You grant us a limited, worldwide, non-exclusive license to host, store, process, transmit, and display User Content solely as needed to provide and secure the Service, including sync and collaboration features you enable. This license ends when you delete the content or your account, except for residual backup copies that rotate out over time and content shared with others that they retain under their own accounts.

7.3 Export and backups

You may export supported data from Settings → Security. You remain responsible for maintaining your own backups of important information.

7.4 Content restrictions

You may not use the Service to store or transmit content that:

• Violates law or regulation
• Infringes intellectual property or privacy rights
• Contains malware or harmful code
• Harasses, threatens, or exploits others
• Is illegal, obscene, or defamatory

8. Acceptable Use

You agree not to:

• Use the Service for unlawful purposes
• Attempt unauthorized access to accounts, systems, or data
• Interfere with or disrupt the Service
• Abuse APIs, scrape without permission, or exceed rate limits
• Reverse engineer the Service except where permitted by law
• Remove proprietary notices
• Transmit spam or malware
• Impersonate others or misrepresent affiliation
• Harvest information about other users without authorization

9. Intellectual Property

The Service—including software, design, trademarks, and documentation, excluding User Content—is owned by Phoenix Digital, LLC and its licensors and is protected by intellectual property laws. These Terms grant you a limited right to use the Service, not ownership of it.

10. Third-Party Services and Links

The Service may integrate with or link to third-party services (including Google, Apple, Stripe, Slack, and others). We are not responsible for third-party content, policies, or practices. Your use of third-party services is subject to their terms and privacy policies.

11. Privacy

Our Privacy Policy explains how we collect, use, and share personal information. By using the Service, you acknowledge that policy.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Results from the Service will be accurate or reliable
• Defects will be corrected

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PHOENIX DIGITAL, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations; in those jurisdictions, our liability is limited to the fullest extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Phoenix Digital, LLC and its officers, directors, employees, and agents from and against claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your User Content, or your violation of these Terms or third-party rights.

15. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access if you violate these Terms, if required by law, or if we discontinue the Service. Upon termination, your right to use the Service ceases. Provisions that by their nature should survive (including ownership, disclaimers, limitations of liability, and indemnity) will survive.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law principles, except where mandatory consumer protection laws in your country of residence require otherwise.

Before filing a claim, you agree to try to resolve the dispute informally by contacting support@todoticked.com. If informal resolution fails, disputes may be resolved in courts of competent jurisdiction, subject to applicable law.

17. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. Material changes may also be communicated by email or in-product notice. Continued use after changes become effective constitutes acceptance.
